General Terms

By accessing or using Strada, you confirm that you have read, understood, and agree to be bound by these Terms. These Terms apply to the website, the mobile application, and any email or other communication between you and Strada. If you do not agree, do not access or use the Service.

Strada provides car-spotting, license plate collection, garage/profile, map, and community meet features for automotive enthusiasts. Information presented in the Service, including spot details, vehicle details, locations, meet listings, host information, RSVP links, and other user-submitted content, is provided for convenience only and may be inaccurate, incomplete, or out of date. You are responsible for complying with all traffic laws, posted signage, venue rules, and other legal requirements. Strada does not guarantee the availability, legality, safety, accuracy, or quality of any location, vehicle information, meet, event, route, or other content displayed in the Service, and is not responsible for any citations, towing, damage, theft, injury, dispute, or other loss arising from your reliance on the Service.

We may change features, prices (if applicable), and policies from time to time. Material changes will be communicated consistent with the "Amendments to this Agreement" section below.

License

Strada grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the app strictly in accordance with the terms of this Agreement.

These Terms & Conditions are a contract between you and Strada (referred to in these Terms & Conditions as "Strada", "us", "we" or "our"), the provider of the Strada website and the services accessible from the Strada website (which are collectively referred to in these Terms & Conditions as the "Strada Service").

You are agreeing to be bound by these Terms & Conditions. If you do not agree to these Terms & Conditions, please do not use the Strada Service. In these Terms & Conditions, "you" refers both to you as an individual and to the entity you represent. If you violate any of these Terms & Conditions, we reserve the right to cancel your account or block access to your account without notice.

Permissions You Give to Us

We do not claim ownership of your content, but you grant us a license to use it. Nothing is changing about your rights in your content. We do not claim ownership of your content that you post on or through the Service and you are free to share your content with anyone else, wherever you want. However, we need certain legal permissions from you (known as a "license") to provide the Service. When you share, post, or upload content that is covered by intellectual property rights (like photos, videos, location data, spot posts, vehicle details, garage content, meet listings, meet photos or flyers, captions, descriptions, RSVP or attendance-related content, or other user-submitted content) on or in connection with our Service, you hereby grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content (consistent with your privacy and application settings). This license will end when your content is deleted from our systems. You can delete content individually or all at once by deleting your account.

Eligibility and Age Requirements

The Service is intended for users who are at least 13 years of age. By accessing or using the Service, you represent and warrant that you are at least 13 years old and, if you are under 18, that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete it. We reserve the right, but are not obligated, to investigate, remove, or disable access to any user content and to suspend or terminate accounts that we reasonably believe violate these Terms or applicable law.

Community Meets and Events

The Service may allow users or third parties to create, share, discover, RSVP to, link to, or otherwise interact with car meets and other events. Unless we expressly state otherwise in writing, Strada does not organize, sponsor, supervise, endorse, insure, or control user-hosted or third-party meets or events. Meet listings and related information are user-submitted or third-party content.

If you create, host, promote, or manage a meet or event through the Service, you are solely responsible for the accuracy of the listing, attendee communications, permits, insurance, venue permission, crowd control, security, safety planning, compliance with applicable laws, and compliance with any venue, property owner, or law enforcement requirements. Posting or promoting meets through the Service is a revocable feature, not a guaranteed right. We may remove listings, restrict event features, suspend accounts, or report activity when we reasonably believe a meet or event may be illegal, unsafe, fraudulent, abusive, misleading, or otherwise inconsistent with these Terms.

If you attend or participate in a meet or event discovered through the Service, you do so at your own risk. You are responsible for evaluating the safety, legality, location, host, and suitability of any meet or event before attending. Strada is not responsible for cancellations, inaccurate listings, disputes, accidents, injuries, property damage, theft, citations, towing, unsafe driving, venue issues, host conduct, attendee conduct, or any other loss connected to a meet or event.

In-App Purchases and Subscriptions

If the Service offers paid features, subscriptions, or in-app purchases, those purchases are processed through the applicable app store (such as Apple's App Store or Google Play) and are governed by that store's terms in addition to these Terms. Subscription prices, billing cycles, and auto-renewal terms will be disclosed at the point of purchase. You may manage or cancel subscriptions through your app store account settings. Except as required by applicable law or as expressly stated at the time of purchase, all fees are non-refundable.

Your Consent

We've updated our Terms & Conditions to provide you with complete transparency into what is being set when you visit our site and how it's being used. By using our app, registering an account, or making a purchase, you hereby consent to our Terms & Conditions.

Links to Other Websites

This Terms & Conditions applies only to the Services. The Services may contain links to other websites not operated or controlled by Strada. We are not responsible for the content, accuracy or opinions expressed in such websites, and such websites are not investigated, monitored or checked for accuracy or completeness by us. Please remember that when you use a link to go from the Services to another website, our Terms & Conditions are no longer in effect. Your browsing and interaction on any other website, including those that have a link on our platform, is subject to that website's own rules and policies. Such third parties may use their own cookies or other methods to collect information about you.

Cookies

Strada uses "Cookies" to identify the areas of our website that you have visited. A Cookie is a small piece of data stored on your computer or mobile device by your web browser. We use Cookies to improve the performance and functionality of our app but are not required to use it. However, without these cookies, certain functionality like videos may become unavailable or you would be required to enter your login details every time you visit the app as we would not be able to remember that you had logged in previously. Most web browsers can be set to disable the use of Cookies. However, if you disable Cookies, you may not be able to access functionality on our website correctly or at all. We never place Personally Identifiable Information in Cookies.

Changes To Our Terms & Conditions

You acknowledge and agree that Strada may stop (permanently or temporarily) providing the Service (or any features within the Service) to you or to users generally at sole discretion, without prior notice to you. You may stop using the Service at any time. You do not need to specifically inform Strada when you stop using the Service. You acknowledge and agree that if Strada disables access to your account, you may be prevented from accessing the Service, your account details or any files or other materials which is contained in your account.

If we decide to change our Terms & Conditions, we will post those changes on this page, and/or update the Terms & Conditions modification date below.

Modifications to Our App

Strada reserves the right to modify, suspend or discontinue, temporarily or permanently, the app or any service to which it connects, with or without notice and without liability to you.

Updates to Our App

Strada may from time to time provide enhancements or improvements to the features/ functionality of the app, which may include patches, bug fixes, updates, upgrades and other modifications ("Updates").

Updates may modify or delete certain features and/or functionalities of the app. You agree that Strada has no obligation to (i) provide any Updates, or (ii) continue to provide or enable any particular features and/or functionalities of the app to you.

You further agree that all Updates will be (i) deemed to constitute an integral part of the app, and (ii) subject to the terms and conditions of this Agreement.

Third-Party Services

We may display, include or make available third-party content (including data, information, applications and other products services) or provide links to third-party websites or services ("Third-Party Services").

You acknowledge and agree that Strada shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect thereof. Strada does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party Services.

Third-Party Services and links thereto are provided solely as a convenience to you and you access and use them entirely at your own risk and subject to such third parties' terms and conditions.

Analytics and Data Collection

We use analytics services, including Google Firebase Analytics, to collect information about how you use the app. This helps us understand user behavior, improve our Services, and diagnose technical issues.

Term and Termination

This Agreement shall remain in effect until terminated by you or Strada.

Strada may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.

This Agreement will terminate immediately, without prior notice from Strada, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the app and all copies thereof from your computer.

Upon termination of this Agreement, you shall cease all use of the app and delete all copies of the app from your computer.

Termination of this Agreement will not limit any of Strada's rights or remedies at law or in equity in case of breach by you (during the term of this Agreement) of any of your obligations under the present Agreement.

Copyright Infringement Notices (DMCA)

We respect the intellectual property rights of others and respond to valid notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA"). If you believe material on the Service infringes your copyright, please send a written notice to our designated agent that includes:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf;
  2. Identification of the copyrighted work claimed to have been infringed;
  3. Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it;
  4. Your contact information, including address, telephone number, and email;
  5. A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner.

Counter-Notice. If you believe material you posted was removed or disabled by mistake or misidentification, you may submit a counter-notice containing the information required by 17 U.S.C. § 512(g)(3), including your consent to the jurisdiction of the federal district court for your judicial district (or, if outside the U.S., the federal district court for the District of Utah).

Repeat Infringer Policy. We will, in appropriate circumstances, terminate the accounts of users determined to be repeat infringers.

Indemnification

You agree to indemnify and hold Strada and its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of your: (a) use of the app; (b) violation of this Agreement or any law or regulation; (c) violation of any right of a third party; (d) content you submit, including spot posts, vehicle details, locations, meet listings, photos, flyers, descriptions, links, or RSVP information; or (e) any meet or event you create, host, promote, manage, attend, or participate in, including claims related to permits, insurance, venue permission, safety, traffic laws, property damage, personal injury, attendee conduct, or third-party disputes.

No Warranties

The app is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Strada, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the app, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, Strada provides no warranty or undertaking, and makes no representation of any kind that the app will meet your requirements, achieve any intended results, be compatible or work with any other software, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Without limiting the foregoing, neither Strada nor any Strada's provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the app, or the information, content, and materials or products included thereon; (ii) that the app will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the app; or (iv) that the app, its servers, the content, or e-mails sent from or on behalf of Strada are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of or limitations on implied warranties or the limitations on the applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you.

Limitation of Liability

To the maximum extent permitted by applicable law, the entire aggregate liability of Strada, Lauterstar LLC, and their affiliates, officers, employees, agents, licensors, and suppliers arising out of or relating to these Terms or the Service, and your exclusive remedy for any claim, shall not exceed the greater of (a) the amount actually paid by you to us for access to the Service during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00 USD).

To the maximum extent permitted by applicable law, in no event shall Strada, Lauterstar LLC, or their suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever (including damages for loss of profits, loss of data, business interruption, personal injury, or loss of privacy) arising out of or in any way related to the use of or inability to use the Service, even if Strada or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions and limitations may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

This Agreement, together with the Privacy Policy and any other legal notices published by Strada on the Services, shall constitute the entire agreement between you and Strada concerning the Services. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Strada's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision. YOU AND Strada AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Agreement shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute waiver of any subsequent breach.

No failure to exercise, and no delay in exercising, on the part of either party, any right or any power under this Agreement shall operate as a waiver of that right or power. Nor shall any single or partial exercise of any right or power under this Agreement preclude further exercise of that or any other right granted herein. In the event of a conflict between this Agreement and any applicable purchase or other terms, the terms of this Agreement shall govern.

Amendments to this Agreement

Strada reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our app after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use Strada.

Entire Agreement

The Agreement constitutes the entire agreement between you and Strada regarding your use of the app and supersedes all prior and contemporaneous written or oral agreements between you and Strada.

You may be subject to additional terms and conditions that apply when you use or purchase other Strada's services, which Strada will provide to you at the time of such use or purchase.

Updates to Our Terms

We may change our Service and policies, and we may need to make changes to these Terms so that they accurately reflect our Service and policies. Unless otherwise required by law, we will notify you (for example, through our Service) before we make changes to these Terms and give you an opportunity to review them before they go into effect. Then, if you continue to use the Service, you will be bound by the updated Terms. If you do not want to agree to these or any updated Terms, you can delete your account.

Intellectual Property

The app and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by Strada, its licensors or other providers of such material and are protected by and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The material may not be copied, modified, reproduced, downloaded or distributed in any way, in whole or in part, without the express prior written permission of Strada, unless and except as is expressly provided in these Terms & Conditions. Any unauthorized use of the material is prohibited.

Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to the Arbitration Agreement below, any action not subject to arbitration shall be brought exclusively in the state or federal courts located in Davis County or Salt Lake County, Utah, and each party consents to the personal jurisdiction and venue of those courts.

Dispute Resolution; Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

This Dispute Resolution section applies to any dispute, claim, or controversy between you and Strada arising out of or relating to these Terms or the Service, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory ("Dispute"). It does not apply to (i) claims for injunctive or other equitable relief regarding intellectual property rights, or (ii) claims that may be brought in small-claims court on an individual basis.

Informal Resolution (Required First Step)

Before starting arbitration or a lawsuit, you and Strada agree to attempt to resolve the Dispute informally. Send a written Notice of Dispute to Strada@lauterstar.com that includes your name, address, contact information, the facts giving rise to the Dispute, and the relief requested. The parties will try in good faith to resolve the Dispute within sixty (60) days after the notice is received. If the Dispute is not resolved within that period, either party may commence arbitration.

Binding Arbitration

If informal resolution fails, any Dispute will be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or, if inapplicable, its Commercial Arbitration Rules). The arbitration will be seated in Salt Lake County, Utah, and may be conducted in person, by video, or by telephone at the claimant's election for individual disputes under $25,000. The arbitrator, and not any federal, state, or local court, has exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, except that disputes about the Class Action Waiver below will be decided by a court. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Either party may seek interim or preliminary injunctive relief from a court of competent jurisdiction to protect its rights pending the arbitration.

Class Action and Jury Trial Waiver

YOU AND Strada AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding. If this Class Action Waiver is found to be unenforceable as to any claim, then that claim (and only that claim) will be severed and brought in court, and the remainder of this Arbitration Agreement will remain in full force. You and Strada also waive any right to a trial by jury.

30-Day Right to Opt Out

You may opt out of this Arbitration Agreement and Class Action Waiver by emailing Strada@lauterstar.com within thirty (30) days after first accepting these Terms, with the subject line "Arbitration Opt-Out" and your full name and the email address associated with your account. Opting out will not affect any other terms of this Agreement.

Fees and Costs

AAA's rules govern payment of filing, administrative, and arbitrator fees. Each party is responsible for its own attorneys' fees except where a statute entitles the prevailing party to recover them.

Feedback

"Feedback" means any ideas, suggestions, improvements, or other input you voluntarily provide to us about the Service, separate from the user content you post through the Service. You grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, publish, and exploit Feedback for any purpose, without compensation or obligation to you. For clarity, this section does not apply to user content you post through the Service (such as photos, spot posts, or meet listings), which is governed by the "Permissions You Give to Us" section above.

Promotions

Strada may, from time to time, include contests, promotions, sweepstakes, or other activities ("Promotions") that require you to submit material or information concerning yourself. Please note that all Promotions may be governed by separate rules that may contain certain eligibility requirements, such as restrictions as to age and geographic location. You are responsible to read all Promotions rules to determine whether or not you are eligible to participate. If you enter any Promotion, you agree to abide by and to comply with all Promotions Rules.

Additional terms and conditions may apply to purchases of goods or services on or through the Services, which terms and conditions are made a part of this Agreement by this reference.

Force Majeure

Strada will not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, governmental action, internet or telecommunications outages, power failures, or failures of third-party services.

Export Controls and Compliance

You may not use, export, re-export, or transfer the Service in violation of U.S. export laws, including the Export Administration Regulations and sanctions administered by the Office of Foreign Assets Control. You represent that you are not located in, under the control of, or a national or resident of any country or region subject to country-wide U.S. sanctions, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

Apple App Store EULA Addendum

The following terms apply if you access or download the Service from the Apple App Store. These terms are in addition to, and take precedence over, conflicting provisions of these Terms solely with respect to the Apple-distributed app:

Miscellaneous

If for any reason a court of competent jurisdiction finds any provision or portion of these Terms & Conditions to be unenforceable, the remainder of these Terms & Conditions will continue in full force and effect. Any waiver of any provision of these Terms & Conditions will be effective only if in writing and signed by an authorized representative of Strada. Strada will be entitled to injunctive or other equitable relief (without the obligations of posting any bond or surety) in the event of any breach or anticipatory breach by you. Strada operates and controls the Strada Service from its offices in United States. The Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Accordingly, those persons who choose to access the Strada Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable. These Terms & Conditions (which include and incorporate the Strada Privacy Policy) contains the entire understanding, and supersedes all prior understandings, between you and Strada concerning its subject matter, and cannot be changed or modified by you. The section headings used in this Agreement are for convenience only and will not be given any legal import.

Strada does not provide warranties or guarantees.

In no event shall Strada be liable for any special, direct, indirect, consequential, or incidental damages or any damages whatsoever, whether in an action of contract, negligence or other tort, arising out of or in connection with the use of the Service or the contents of the Service. The Company reserves the right to make additions, deletions, or modifications to the contents on the Service at any time without prior notice.

The Strada Service and its contents are provided "as is" and "as available" without any warranty or representations of any kind, whether express or implied. Strada is a distributor and not a publisher of the content supplied by third parties; as such, Strada exercises no editorial control over such content and makes no warranty or representation as to the accuracy, reliability or currency of any information, content, service or merchandise provided through or accessible via the Strada Service. Without limiting the foregoing, Strada specifically disclaims all warranties and representations in any content transmitted on or in connection with the Strada Service or on sites that may appear as links on the Strada Service, or in the products provided as a part of, or otherwise in connection with, the Strada Service, including without limitation any warranties of merchantability, fitness for a particular purpose or non-infringement of third party rights. No oral advice or written information given by Strada or any of its affiliates, employees, officers, directors, agents, or the like will create a warranty. Price and availability information is subject to change without notice. Without limiting the foregoing, Strada does not warrant that the Strada Service will be uninterrupted, uncorrupted, timely, or error-free.
